PART 1: UNIVERSAL TERMS & SCOPE​

1.Scope of Offerings & Intellectual Property

Foundational Frameworks: All proprietary curricula, course blueprints, audio transmissions, guided meditations, written workbooks, PDFs, and somatic methodologies—including but not limited to the Infradian Flow Blueprint, and the foundational pillars of Sōma, Psychē, Harmonia, and Roē—are the sole intellectual property of MaMaitri LLC and Alex Loupatatzi Mallia.

Content Usage Restrictions: You are granted a personal, non-exclusive, non-transferable, revocable license for individual practice. You may not copy, record, transcribe, screenshot, reproduce, redistribute, resell, or train third parties using these materials without prior written consent from MaMaitri LLC.

2. Scope of Practice & Non-Medical Disclaimer

• Educational & Transformational Intent:

All somatic movement, breathwork, nervous system regulation, sound therapy, intuitive mentorship, and reiki energy work offered in-person or virtually are educational, complementary, and self-exploratory in nature.

• No Medical or Psychiatric Care:

Services and materials do not constitute medical care, physical therapy, chiropractic treatment, psychotherapy, psychological diagnosis, or licensed counseling. They are not intended to diagnose, treat, cure, or prevent any physical disease or mental health condition.

• Personal Responsibility:

You retain full autonomy and responsibility for your physical, emotional, and psychological well-being during and after every session, class, or digital transmission. You are expected to consult with a licensed healthcare provider regarding any acute, chronic, or pre-existing medical conditions before participating.

3. Privacy, Data Protection & Communications

• Confidentiality:

Personal details, onboarding responses, and intake assessments gathered via client forms or website checkouts are held in confidence. MaMaitri LLC does not sell, rent, or trade your personal data.

• Community Platforms:

Contact information is used strictly for container access (such as WhatsApp community groups, Zoom portals, and member portals) and administrative communications regarding your active bookings.

​

• Transactional Messages:

By registering an account, you consent to receive necessary transactional emails and operational SMS alerts (e.g., class confirmations, waitlist notifications, schedule alterations).

4. Limitation of Liability

To the fullest extent permitted by applicable law, MaMaitri LLC, its owner, instructors, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or connected to your website use, digital participation, reliance on educational materials, or physical presence at studio premises.

5. Governing Law & Venue

These Terms, our studio rules, and any disputes arising out of your relationship with MaMaitri LLC shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any legal proceeding, dispute, or claim shall be brought exclusively in the state or federal courts located in St. Johns County, Florida.

PART II: THE SOVEREIGN SANCTUM & DIGITAL PLATFORMS

6. Membership Terms, Rates & Auto-Renewal

• Recurring Billing:

All virtual memberships (including The Sovereign Sanctum) operate on an automated, recurring monthly subscription model processed via secure third-party payment gateways.

• Founding Rates:

Members locked into promotional or founding cohort rates retain their locked-in rate for the duration of continuous, uninterrupted enrollment. Any cancellation, card failure lasting beyond grace periods, or lapse in membership forfeits the founding rate upon re-enrollment.

• Standard Pricing:

Memberships initiated following promotional windows will bill at standard stated rates ($66/month or current market tier).

7. Digital Cancellation & Refund Policy

• Cancel Anytime:

Subscriptions carry no long-term contractual lock-in and can be cancelled at any time directly through your online member portal or by written email notice to alex@mamaitri.com prior to your scheduled billing renewal date.

• No Prorated Refunds:

Due to the immediate intellectual property access granted to digital vaults, archives, live links, and community containers upon billing, all membership dues and digital course purchases are strictly non-refundable. No partial refunds or credits are issued for unused portions of an active billing cycle. Access remains active through the end of the paid cycle.

8. Container Safety & Community Code of Conduct

The Sovereign Sanctum and its associated spaces are held as sacred, brave environments grounded in mutual respect, non-judgment, and radical confidentiality.

• Strict Confidentiality:

You agree to honor absolute privacy regarding all personal stories, vulnerable disclosures, and identities shared within circles, Zoom rooms, or messaging threads.

• Zero-Tolerance Violations:

Harassment, hate speech, disruptive conduct, discriminatory language, or unsolicited commercial promotion/solicitation will result in immediate expulsion from the container without refund or warning.
